Anti-Circumvention Agreement

MBC operates a managed procurement network in which buyers and suppliers are introduced and transact only through MBC. This Agreement protects that role and MBC's fees, and applies to every buyer and supplier who uses the network. By registering, submitting a request, or otherwise using the network, you accept this Agreement.
1. Definitions
“Introduction” means any buyer–supplier connection, lead, enquiry, quotation, specification or opportunity originated or facilitated by MBC. “Protection Period” means 24 months from the date of each Introduction. “Circumvention” means dealing outside the MBC network in breach of clause 2.
2. No circumvention (both sides)
Buyers shall not directly contact, solicit, negotiate with, or transact with any supplier introduced by MBC, outside the MBC network, during the Protection Period.
Suppliers shall not directly contact, solicit, negotiate with, or transact with any buyer introduced by MBC, outside the MBC network, during the Protection Period.
Neither party shall use an MBC Introduction to bypass MBC, whether directly or through a related person or entity.
3. Protection period — 24 months
The Protection Period is 24 months from each Introduction. Any transaction between an introduced buyer and supplier within this period is deemed to arise from MBC's Introduction.
4. Success fees remain payable
All transactions arising from an MBC Introduction remain subject to MBC's success/savings fee, whether or not they are routed through MBC. If parties transact directly during the Protection Period, MBC's fee that would have applied remains fully due.
5. All communication through MBC
All communication, quotations, negotiation and sourcing relating to an Introduction must be conducted through MBC. Buyer and supplier contact details are confidential and must not be sought, shared or used to deal directly.
6. Penalties for bypassing MBC
If a party circumvents MBC, that party shall pay MBC, as liquidated damages, the greater of: (a) the full success/savings fee that would have applied to the transaction; or (b) [a fixed minimum of ₹____ — to confirm]; plus recovery of MBC's reasonable costs of enforcement and interest at [1.5% per month — to confirm] on overdue amounts.
In addition, MBC may suspend or permanently remove the party from the network, withdraw any Verified status, and pursue all other remedies available at law. The parties agree these amounts are a genuine pre-estimate of MBC's loss.
7. Non-solicitation & confidentiality
During the Protection Period, neither party will solicit MBC's staff, buyers or suppliers to leave or bypass the network. Information exchanged through the network (identities, prices, specifications, quotes) is confidential and may be used only to transact through MBC.
8. Term, survival & acceptance
This Agreement applies for the duration of network use; the Protection Period and fee, confidentiality and penalty provisions survive termination. Acceptance is given by ticking the acceptance box at registration or request submission, or by using the network.
