This Agreement governs use of the MBC procurement marketplace by a buyer (“you”).

1. Sourcing through MBC

You may browse listings and submit enquiries or procurement requests. MBC facilitates introductions and may negotiate with verified suppliers on your behalf; final purchasing decisions are yours.

2. Confidentiality & non-circumvention

Supplier details are routed through MBC and kept confidential. You agree not to bypass MBC to transact a marketplace-originated introduction without MBC's involvement, including any applicable fee.

3. Due diligence

MBC verifies suppliers on a reasonable-effort basis but does not warrant them. You are responsible for your own checks before entering a transaction.

4. Fees

Browsing and posting requests is free. Where MBC delivers sourcing/savings, fees apply as set out in the Procurement Success Fee Agreement or your proposal.

5. Conduct

You will provide accurate requirements and use the marketplace in good faith and lawfully.

6. Term & termination

Either party may end participation with notice; confidentiality and non-circumvention survive termination.

7. Liability

To the extent permitted by law, MBC is not liable for supplier performance or for losses arising from your purchasing decisions.
