Anti-Circumvention Policy

MBC runs a managed procurement network. We find and verify suppliers, protect everyone's privacy, and negotiate to deliver savings. So the network stays fair and sustainable, the following rules apply to all buyers and suppliers.

The rules

Four simple rules

🔒 Buyers

  • Buyers cannot directly approach suppliers introduced by MBC.
  • All sourcing and contact goes through MBC.

🔒 Suppliers

  • Suppliers cannot directly approach buyers introduced by MBC.
  • All quotes and negotiation go through MBC.

⏱ 24-month protection

The protection period is 24 months from each introduction. Any deal between an introduced buyer and supplier in that window is treated as arising from MBC.

₹ Fees still apply

All transactions introduced by MBC remain subject to MBC success fees — whether or not they are routed through MBC.

If MBC is bypassed

Penalties for circumvention

  • MBC's success/savings fee remains fully payable on the transaction.
  • Liquidated damages equal to the greater of that fee or a fixed minimum [₹____ to confirm].
  • Recovery of MBC's enforcement costs and interest on overdue amounts.
  • Suspension or permanent removal from the network and withdrawal of Verified status.
  • Any other remedies available at law.

What buyers and suppliers agree to

Buyer acceptance

“I agree to source only through Mukul Business Consultancy (MBC) and not to directly contact, negotiate with, or transact with any supplier introduced by MBC, outside the MBC network, for 24 months. I understand MBC's success fee remains payable on any such transaction, and I accept the Anti-Circumvention Agreement.”

Supplier acceptance

“I agree to deal only through Mukul Business Consultancy (MBC) and not to directly contact, solicit, or transact with any buyer introduced by MBC, outside the MBC network, for 24 months. I understand MBC's success fee remains payable on any such transaction, and I accept the Anti-Circumvention Agreement.”

Why does MBC have this policy?

MBC invests in finding, verifying and negotiating with suppliers, and protects both sides' privacy. The policy ensures MBC is fairly paid for the introductions and savings it delivers.

How long does the protection last?

24 months from each introduction. Within that period, any deal between an introduced buyer and supplier is treated as arising from MBC.

What happens if someone bypasses MBC?

MBC's success fee remains payable, plus liquidated damages, costs and interest, and the party may be suspended or removed from the network. See the full agreement.
